Nippon Paint acquires AOC for EUR 2.1 billion

Nippon Paint expands its product portfolio in the specialty chemicals sector through the acquisition of AOC.

Nippon Paint has signed a definitive agreement to acquire LSF11 A5 TopCo LLC and its subsidiaries, collectively known as AOC, for EUR 2.1 billion (USD 2.3 billion). AOC is a global specialty formulator based in the United States and Europe, specializing in composite resins and materials used across various industries, including automotive, construction, and marine sectors.

The acquisition aligns with Nippon Paint’s Asset Assembler model, which focuses on strategic growth through value-added businesses. “This acquisition enhances our global presence and product offerings in the specialty chemicals sector,” stated Yuichiro Wakatsuki, director and co-president of Nippon Paint. “AOC’s expertise complements our existing portfolio, allowing us to better serve our customers worldwide.”

Future Outlook

The transaction is expected to close in the first half of 2025, subject to customary closing conditions and regulatory approvals. Nippon Paint anticipates that the acquisition will be accretive to earnings per share from the first year of ownership.
