Ancora proposes acquisition of HB Fuller’s construction adhesives business
US investment fund Ancora has submitted a proposal to acquire HB Fuller’s construction adhesives business. Valued at up to EUR 1.1 billion, the proposal aims to refocus the business and unlock further growth potential.
Investment fund Ancora Holdings Group has submitted a proposal to acquire HB Fuller’s construction adhesives business. The proposal is valued at up to EUR 1.1 billion (USD 1.2 billion) and is intended to streamline the chemicals company’s portfolio, allowing it to concentrate its resources on core areas with greater growth potential.
HB Fuller, a global adhesives manufacturer headquartered in the United States, has increasingly focused on speciality adhesives and innovative technologies in recent years. The construction adhesives business, which includes products for flooring, tiling and other building applications, accounts for approximately 20% of the company’s total revenue. Ancora sees a potential acquisition as an opportunity to develop the business independently and expand its market share in a targeted manner.
Strategic refocusing and market potential
Ancora argues that selling the construction adhesives business could enable HB Fuller to accelerate its growth strategy. The company would be able to focus more strongly on advanced speciality adhesives and industrial applications, which offer the prospect of higher profitability. “We believe that the value of this business can be better realised as a standalone operation,” Ancora stated in a letter to HB Fuller’s management.
The potential transaction could not only support HB Fuller’s strategic direction, but also enable new investment and innovation in the construction adhesives sector. The acquisition would give Ancora the opportunity to position itself as a significant player in construction chemicals, while benefiting from growing demand for building materials and renovation products.

HB Fuller has received Ancora’s proposal but has not yet made a decision. The company stressed that it remains committed to pursuing a sustainable growth strategy while maximising long-term value for its shareholders. Whether Ancora’s proposal will lead to an acquisition remains to be seen.
The construction chemicals industry is currently undergoing a period of consolidation, as companies increasingly pursue strategic partnerships and acquisitions to protect market share and strengthen their competitiveness. Should the deal go ahead, it could prove influential for the further development of the sector.
